By accessing or using our website (“Site”) or services (“Services”), including our online certification courses, you (“User,” “Learner,” or “You”) agree to be bound by these Terms of Service (“Terms”). Please read these Terms carefully before using our Site or Services. If you do not agree to these Terms, you must not access or use our Site or Services.
1. Acceptance of Terms
By accessing our Site, enrolling in our certification programs, or using our Services, you confirm that:
- You are at least 18 years of age or the age of majority in your jurisdiction, whichever is higher, and are capable of entering into a legally binding agreement.
- If you are accessing the Site or Services on behalf of an organization, entity, or group, you have the authority to bind that entity to these Terms.
- You have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
2. Services Provided
2.1 Nature of Services: Learnlete offers online, self-paced certification courses in holistic nutrition and wellness (“Courses”). All Courses are delivered digitally through our Site and are intended for educational and informational purposes only.
2.2 No Guarantee of Outcomes: Completion of any Course does not guarantee employment, professional licensure, certification recognition, or any specific personal or professional outcome. Learnlete does not provide job placement services or professional credentialing beyond the issuance of a certificate of completion.
2.3 Accreditation Disclaimer: Learnlete’s Courses may be accredited by various organizations, and details of current accreditations are updated as needed on our Site. However:
- Learnlete is not responsible for the actions, offerings, locations, or policies of any accrediting bodies.
- It is solely your responsibility to verify whether any accreditation associated with our Courses is recognized or applicable in your specific location, profession, or by your employer or regulatory authority.
- You are responsible for researching and understanding how your certification can be applied in your jurisdiction and whether it permits you to practice your intended profession or activities. Learnlete makes no representations or warranties regarding the utility, validity, or acceptance of its certifications for your specific needs or location.
3. Account Registration
3.1 Account Creation: To access certain features or Courses, you must create an account (“Account”) by providing accurate, current, and complete information as prompted during registration.
3.2 Account Security: You are responsible for maintaining the confidentiality of your Account credentials (e.g., username and password) and for all activities conducted under your Account. You agree to notify us immediately at [email protected] if you suspect unauthorized use of your Account.
3.3 Accuracy of Information: You agree to update your Account information as necessary to ensure its accuracy. Learnlete is not responsible for any issues arising from inaccurate or outdated Account information.
4. Fees and Payments
4.1 Pricing: Course fees are listed on the Site and are subject to change at Learnlete’s discretion. All prices are in USD unless otherwise stated and exclude applicable taxes, which are your responsibility.
4.2 Payment Terms: Full payment or enrollment in an approved payment plan is required before accessing Course materials. We accept major credit cards and other payment methods as specified at checkout.
4.3 Refund Policy:
- Refund requests must be submitted in writing to [email protected] within 7 days of purchase.
- Refunds are only available if less than 10% of the Course content has been accessed or completed, as determined by Learnlete’s tracking system.
- Approved refunds will be processed within 30 days, minus any applicable processing fees.
- No refunds will be issued for Courses purchased through third-party platforms or promotional offers unless explicitly stated.
- No refunds will be issued for any eBooks purchased as part of or in connection with a Course, even if the refund request meets other eligibility criteria, as eBooks are considered delivered and non-returnable digital goods.
4.4 Non-Transferable: Course purchases and access are non-transferable and may not be resold or assigned to another individual.
4.5 Payment Disputes: You agree to resolve any payment disputes directly with Learnlete before initiating a chargeback with your payment provider. Chargebacks filed without prior communication may result in Account termination and legal action to recover losses.
5. Use of Course Materials
5.1 Personal Use Only: All Course materials, including videos, worksheets, PDFs, and other content (“Materials”), are provided for your personal, non-commercial use only.
5.2 Restrictions: You may not:
- Reproduce, distribute, sell, lease, sublicense, or share Materials with third parties.
- Modify, adapt, or create derivative works from the Materials.
- Use Materials to develop competing products or services.
5.3 License: Upon payment, Learnlete grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Materials solely for your personal educational purposes, subject to these Terms.
6. User Conduct
You agree not to:
- Use the Site or Services for any illegal, fraudulent, or unauthorized purpose.
- Interfere with or disrupt the Site’s functionality, security, or performance (e.g., through hacking, viruses, or denial-of-service attacks).
- Upload, share, or transmit content that infringes on the intellectual property, privacy, or other rights of others.
- Engage in harassing, abusive, or defamatory behavior toward Learnlete staff, instructors, or other Users.
- Misrepresent your identity, qualifications, or affiliation when interacting with the Site or Services.
Learnlete reserves the right to investigate and take action, including Account suspension or termination, against any User suspected of violating this section.
7. Intellectual Property
7.1 Ownership: All content on the Site and within the Services, including but not limited to text, graphics, logos, videos, audio, software, and Course Materials, is the exclusive property of Learnlete or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.
7.2 Prohibited Use: Unauthorized use, reproduction, or distribution of Learnlete’s intellectual property is strictly prohibited and may result in legal action.
7.3 User Submissions: Any content you submit to Learnlete (e.g., reviews, feedback, or testimonials) grants Learnlete a worldwide, perpetual, royalty-free, irrevocable license to use, modify, reproduce, and display such content for promotional or operational purposes, while respecting your privacy as outlined in our Privacy Policy.
8. Course Disclaimer and Participant Responsibilities
8.1 Educational Purpose Only: All Course content is provided for educational and informational purposes only. It is not intended to diagnose, treat, cure, or prevent any disease or condition, nor does it constitute medical, psychological, legal, or other professional advice.
8.2 Not Professional Advice: Learnlete instructors are not acting as licensed healthcare providers, dietitians, therapists, or other regulated professionals. You should consult a qualified professional before implementing any practices or recommendations from the Courses.
8.3 Personal Responsibility:
- You assume full responsibility for your health, wellness, and professional decisions based on Course content.
- You are responsible for researching and confirming whether Learnlete’s certifications and any associated accreditations are recognized or applicable in your jurisdiction, profession, or by your employer.
- It is your duty to understand the scope of your certification, including whether it permits you to legally practice your intended profession or activities in your location. Learnlete is not liable for any lack of recognition, applicability, or legal restrictions affecting your use of the certification.
8.4 No Professional Relationship: Enrollment in a Course does not create a client-coach, patient-provider, or other professional relationship between you and Learnlete or its instructors.
8.5 Liability Waiver: By participating, you agree to release Learnlete, its affiliates, instructors, and agents from any liability for damages, injuries, or losses arising from your use of the Course content, to the fullest extent permitted by law.
9. Disclaimer of Warranties
9.1 As-Is Basis: The Site and Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
9.2 No Guarantees: Learnlete does not guarantee:
- The accuracy, completeness, or reliability of Course content.
- Uninterrupted or error-free access to the Site or Services.
- Specific results from Course participation.
10. Limitation of Liability
10.1 Exclusion of Damages: To the maximum extent permitted by law, Learnlete, its affiliates, officers, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages (including lost profits, data, or goodwill) arising from your use of the Site or Services, even if advised of the possibility of such damages.
10.2 Cap on Liability: In any event, Learnlete’s total liability to you for any claim arising under these Terms shall not exceed the amount you paid for the specific Course giving rise to the claim.
10.3 Force Majeure: Learnlete is not liable for delays or failures in performance due to events beyond our reasonable control, including natural disasters, pandemics, cyberattacks, or governmental actions.
11. Termination
11.1 By Learnlete: We may suspend or terminate your access to the Site, Services, or Account at our sole discretion, with or without notice, for reasons including but not limited to:
- Violation of these Terms.
- Non-payment of fees.
- Conduct deemed harmful to Learnlete or other Users.
11.2 By You: You may terminate your Account by contacting [email protected]. No refunds will be issued for unused portions of Courses unless eligible under Section 4.3.
11.3 Effect of Termination: Upon termination, your license to access Materials ends, and you must cease using all Learnlete content.
12. Governing Law and Dispute Resolution
12.1 Governing Law: These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict of law principles.
12.2 Dispute Resolution:
- Any disputes arising from these Terms shall first be addressed through good-faith negotiation between the parties.
- If unresolved within 30 days, disputes shall be submitted to binding arbitration in Michigan, conducted by a single arbitrator under the rules of the American Arbitration Association.
- The prevailing party shall be entitled to recover reasonable attorney’s fees and costs.
12.3 Jurisdiction: For matters not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts in Michigan.
13. Changes to Terms
13.1 Modification: Learnlete may update these Terms at any time by posting the revised version on this page with an updated “Effective Date.”
13.2 Notification: We may, but are not obligated to, notify you of significant changes via email or a Site announcement.
13.3 Continued Use: Your continued use of the Site or Services after changes constitutes acceptance of the updated Terms.
14. Miscellaneous
14.1 Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Learnlete regarding the Site and Services, superseding any prior agreements.
14.2 Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
14.3 No Waiver: Learnlete’s failure to enforce any right or provision does not constitute a waiver of that right or provision.
